How much does it cost to form an LLC in Florida (2026)?

By REM Strategic Services · Updated

[ Quick answer ]

Florida charges $125 to form an LLC: $100 for the Articles of Organization and $25 to designate a registered agent. After that, the annual report is $138.75 a year, due by May 1 starting the year after you form, or $538.75 if you're late. Your EIN is free from the IRS. If you file yourself on Sunbiz, $125 is the whole cost to start.

What Florida charges to form an LLC

You form a Florida LLC by filing Articles of Organization with the Florida Division of Corporations, through its Sunbiz website. The state fee is $125.

That $125 is two charges together: $100 to file the Articles and $25 to designate your registered agent. Every LLC in Florida needs a registered agent, so you pay both.

What it costs to keep the LLC every year

The cost you'll see most is the annual report. It's $138.75, due by May 1 every year, starting the year after you form. If you form in 2026, your first report is due by May 1, 2027.

Late reports cost $538.75. Put a reminder on your calendar for April. The report itself is short; you confirm your address, managers, and registered agent.

If you use a paid registered agent, add that yearly fee too. If you're your own agent, there's no yearly agent cost.

U.S. companies don't file a BOI report. FinCEN paused it in March 2025 and made that permanent in August 2026. If someone tries to sell you a BOI filing for a new Florida LLC, you don't need it.

What's free that people often pay for

Some costs on filing-service checkout pages are for things you can do yourself at no charge. That doesn't mean paying for help is wrong. It means you should know what you're paying for.

  • Your EIN. The IRS issues it for free.
  • Being your own registered agent. Free, if you have a Florida street address. Your address becomes public on Sunbiz.
  • BOI filing. Not required for U.S. companies.
  • Filing the Articles yourself. You can do it on Sunbiz for the $125 state fee.

Filing yourself vs paying for help

Filing on Sunbiz yourself is a fine option. The form is straightforward if you know your LLC name, address, registered agent, and who manages the company.

People pay for help when they want it done right the first time, want the EIN and an operating agreement handled together, or are also building a website and want one team for both.

Our Florida LLC is $249 total. That includes our filing work, Florida's $125, your EIN, and a basic operating agreement. No subscription. If you also need a website, Launch is $1,099 for the LLC and a 5-page site, $100 more than the site alone.

LLC filings are final once paid. We file right away, and the state keeps its fee.

Costs that stay with you after forming

Forming the LLC is the start. Some costs depend on your trade and your city or county, so we can't give you a number for them here.

  • The Florida annual report each year.
  • Licenses and permits for your trade.
  • Business insurance.
  • A separate business bank account. Keep business money out of your personal account.

We're not a law firm or CPA. If you have multiple partners, real estate holdings, or tax questions, talk to a lawyer or CPA before you file.
